Exclusions from Confidential Information

Confidential Information does not include information that:

  • Is or becomes generally known to the public through no wrongful act of the receiving party;
  • Is already known to the receiving party at the time of disclosure;
  • Is independently developed by the receiving party without use of or reference to the disclosing party's Confidential Information;
  • Is rightfully received from a third party without breach of any obligation of confidentiality.
  • Is required to be disclosed by law (e.g., subpoena, court order), provided the disclosing party is given prior notice before disclosure.
